Terms of Service
Last Updated: July 9, 2026
Definitions
- "Company" (also "we", "us", or "our") refers to CoverFi.
- "Service" refers to CoverFi, accessible at https://coverfi.com, including all related websites, applications, APIs, features, datasets, documentation, and content.
- "User" (also "you" or "your") refers to any individual or entity that accesses or uses the Service, including account holders, organization members, and visitors.
- "Organization" means a workspace or tenant account on the Service through which one or more Users collaborate and share billing, credits, and data access.
- "Records Data" means consumer identity and related attributes made available through the Service (including, without limitation, names, aliases, dates of birth, addresses, phone numbers, email addresses, and other identifiers sourced from third-party marketing or identity datasets).
- "Output" means any search results, match results, reports, scores, confidence signals, AI-generated content, exports, or other information the Service returns to you.
- "Credits" means metered units of usage allocated to an Organization for certain features of the Service.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Service.
By accessing or using the Service in any way — including browsing public pages, creating an account, joining an Organization, running an identity check, searching Records Data, purchasing Credits, or clicking to accept these Terms — you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. No separate signature is required.
If you do not agree to these Terms, you must not access or use the Service.
If you use the Service on behalf of an Organization or other entity, you represent that you have authority to bind that entity, and "you" includes that entity. Organization owners and administrators are responsible for the acts and omissions of their members.
We may modify these Terms at any time, with or without prior notice. Changes are effective when posted. Your continued use of the Service after any modification constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. If a change is material, we may (but are not obligated to) provide additional notice (for example, by email or in-product notice).
2. Service Description
The Service is a software-as-a-service platform that may include, without limitation: user accounts; Organizations, memberships, and invitations; credit-based billing; email notifications; identity-check and search tools; access to Records Data and related Output; optional AI-assisted features; administrative tools; and related functionality.
Important characterization. The Service provides database matching and informational lookup tools. A "match," "no match," "needs review," confidence signal, or similar Output means only that submitted details appear consistent (or not) with Records Data in our systems. It is not government ID verification, not biometric verification, not a background check, and not a consumer report.
We reserve the right to modify, suspend, throttle, or discontinue any aspect of the Service (including datasets, features, pricing, rate limits, and availability) at any time, with or without notice, and without liability to you. We do not guarantee availability, uptime, accuracy, completeness, freshness, or any specific functionality. Features labeled beta, preview, or experimental may be changed or withdrawn at any time.
3. Eligibility and Accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account, whether or not authorized by you. You must notify us promptly at support@coverfi.com of any unauthorized access or security breach.
You must provide accurate, current, and complete information when creating an account and keep that information up to date. We have no obligation to verify your identity or the identity of any User. We may reclaim usernames, Organization names, slugs, or other identifiers at our discretion.
We may refuse registration, reclaim accounts, require re-verification, or suspend accounts that appear fraudulent, abusive, inactive, or in violation of these Terms.
4. Organizations and Multi-User Access
If you create or join an Organization:
- Owners and administrators may manage membership, roles, billing, Credits, and access to Organization data and Output.
- Your name, email address, and role may be visible to other members of that Organization.
- You are responsible for activity performed with your credentials within the Organization.
- If you leave an Organization, you may lose access to Organization-owned data, history, and Credits; we are not obligated to export or preserve that data for you personally.
- Domain-based or invitation-based joining features, where offered, do not create any employment, partnership, or agency relationship between Users.
Organization owners are responsible for ensuring that all members comply with these Terms and for all fees incurred by the Organization.
5. Records Data, Identity Checks, and Permitted Use
a. Nature of Records Data and Output
Records Data is compiled from third-party and other sources that we do not control. Records Data and Output may be incomplete, outdated, inaccurate, duplicated, mismatched, or wrongly attributed. Deceased flags, aliases, address history, contact data, and similar fields may be wrong or stale.
YOU ACKNOWLEDGE THAT YOU USE RECORDS DATA AND OUTPUT ENTIRELY AT YOUR OWN RISK. THE COMPANY DOES NOT WARRANT THE ACCURACY, COMPLETENESS, TIMELINESS, OR FITNESS OF ANY RECORDS DATA OR OUTPUT.
b. Not a Consumer Report; FCRA and Similar Laws
The Service is not a consumer reporting agency, and Records Data and Output are not "consumer reports" under the Fair Credit Reporting Act (FCRA) or analogous state or foreign laws.
You may not use the Service, Records Data, or Output, in whole or in part, as a factor in determining eligibility for credit, insurance, employment, housing, tenant screening, government benefits, or any other purpose regulated by the FCRA or similar laws. You represent and warrant that you will not request, obtain, or use Records Data or Output for any such purpose.
If you are unsure whether a use is permitted, do not proceed. Misuse may expose you to civil and criminal liability; you agree to indemnify the Company for claims arising from prohibited uses (see Indemnification).
c. Permitted informational uses
Subject to these Terms, you may use the Service only for lawful, legitimate informational purposes consistent with applicable law — for example, locating contact information you are legally entitled to seek, verifying consistency of details you already possess, fraud-awareness research that does not constitute a regulated consumer report, or other non-FCRA informational uses that do not violate privacy, stalking, harassment, or data-protection laws.
You are solely responsible for determining whether your intended use is lawful in your jurisdiction and for obtaining any consents or authorizations required.
d. Prohibited uses of Records Data and Output
Without limiting the Acceptable Use Policy below, you agree not to:
- Use Records Data or Output for employment, tenant, credit, insurance, or other FCRA-regulated decisions
- Stalk, harass, threaten, intimidate, extort, dox, or harm any person
- Contact individuals for unlawful, deceptive, or abusive purposes
- Use the Service to locate or target victims of domestic violence, protected persons, minors, or similarly sensitive populations for harmful purposes
- Resell, sublicense, publish, scrape, bulk-export, or redistribute Records Data or Output except as expressly allowed in writing by the Company
- Build or train competing datasets, models, or services using Records Data or Output
- Combine Records Data with other data to create a consumer report or regulated screening product
- Misrepresent Output as government verification, official identity proof, or a background check
- Use automated means to extract Records Data beyond ordinary interactive use of the interface, or to circumvent rate limits, Credits, or access controls
- Access Records Data relating to yourself or others in violation of applicable privacy or data-protection law
We may monitor usage patterns, investigate suspected abuse, rate-limit or terminate access, and cooperate with law enforcement.
6. Acceptable Use Policy
You agree not to engage in any of the following, without limitation:
- Any illegal activity or violation of any applicable law or regulation (including privacy, consumer-protection, anti-spam, export-control, and sanctions laws)
- Reverse engineering, decompiling, or disassembling any part of the Service except to the limited extent permitted by mandatory law
- Scraping, crawling, harvesting, bulk downloading, or systematically extracting data from the Service
- Circumventing or attempting to circumvent any security, authentication, metering, Credits, or access-control measure
- Interfering with or disrupting the integrity, security, or performance of the Service
- Impersonating any person or entity, or misrepresenting your affiliation or purpose
- Accessing accounts, Organizations, or data that you are not authorized to access
- Automated access to the Service (bots, scripts, scrapers) without our prior written permission
- Transmitting viruses, malware, or any other harmful code
- Infringing the intellectual property or privacy rights of others
- Harassing, abusing, defaming, or harming another person
- Using the Service in a manner that creates risk of harm to minors
- Attempting to probe, scan, or test the vulnerability of the Service without authorization
- Sharing account credentials or selling access to the Service
We may investigate violations and cooperate with law enforcement or injured third parties. We may remove content, suspend Credits, suspend Organizations, or terminate accounts at our sole discretion.
7. Intellectual Property
All content, software, code, design, logos, trademarks, datasets (including Records Data as presented through the Service), documentation, and other materials comprising the Service are the property of the Company or its licensors. You receive a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely in accordance with these Terms and solely for your internal, lawful purposes.
No rights are granted by implication or estoppel. You may not copy, modify, distribute, sell, lease, or create derivative works from the Service or Records Data except as expressly permitted.
User content and inputs. By submitting any content, queries, search parameters, prompts, files, or other materials to the Service ("User Content"), you grant the Company a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, modify, distribute, display, store, and create derivative works from that User Content for the purpose of operating, securing, analyzing, and improving the Service and developing new features. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate law or third-party rights.
Feedback you provide may be used by the Company without restriction or compensation.
8. Publicity and Marketing Rights
By creating an account or Organization on the Service, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use your (or your Organization's) name, trade name, logo, trademarks, service marks, and general description of your relationship with the Service (collectively, "Customer Marks") in the Company's marketing materials, website, customer lists, case studies, press releases, investor materials, pitch decks, social media, and similar promotional channels, solely to identify you as a customer or user of the Service.
The Company will use Customer Marks in a manner that is consistent with any reasonable trademark usage guidelines you provide to us and will not imply any endorsement, sponsorship, or affiliation beyond the customer relationship unless you separately agree in writing.
Opt-out. You may revoke this license at any time by sending a written request to support@coverfi.com. The Company will remove your Customer Marks from future marketing materials within thirty (30) days of receiving such request, but is not required to recall or alter materials already distributed or published prior to the opt-out.
9. Payment Terms and Credits
Certain features of the Service require Credits, purchased as one-time Credit packs. Payments are processed by our third-party payment processor (Stripe). We do not store your full payment card details.
- All fees are stated in the currency presented at checkout and are non-refundable unless expressly required by applicable law or expressly stated otherwise in writing by the Company.
- We may change pricing, Credit costs, and Credit pack contents at any time with notice (including by posting updated pricing). Price changes apply to subsequent purchases; Credits already purchased are unaffected.
- You are responsible for all applicable taxes, duties, and governmental charges.
- Unused Credits are not refundable, except where required by law.
- We may suspend the Service, Organizations, or features immediately for non-payment, chargebacks, or suspected payment fraud.
- Purchased Credits do not expire. Credits are not legal tender, have no cash value, and are non-transferable between Organizations unless we expressly allow it; Credits may be temporarily held, captured, or released according to the metering rules of the Service.
- Promotional or complimentary Credits (as distinct from purchased Credits) may carry their own conditions and may be revoked at any time.
- Organization owners and administrators authorize charges for their Organization; members may incur usage that consumes Organization Credits.
If a payment fails, we may retry charging your payment method and/or suspend access until payment succeeds.
10. AI Features
The Service may use artificial intelligence to generate content, suggestions, analysis, or other materials ("AI Output").
AI OUTPUT IS PROVIDED "AS IS" AND MAY BE INACCURATE, INCOMPLETE, BIASED, OR MISLEADING. THE COMPANY MAKES NO WARRANTIES REGARDING AI OUTPUT AND DISCLAIMS ALL LIABILITY ARISING FROM RELIANCE ON IT.
AI Output does not constitute legal, medical, financial, investigative, or other professional advice. You are solely responsible for reviewing AI Output before relying on or distributing it. User inputs to AI features may be processed by third-party AI providers as described in the Privacy Policy. The Company does not guarantee that AI Output is unique, non-infringing, or fit for any purpose. Do not submit sensitive personal information (such as government ID numbers, health data, or financial account numbers) to AI-powered features unless necessary and lawful.
11. Third-Party Services and Links
The Service may integrate with or link to third-party services (including payment, email, hosting, error monitoring, and AI providers). Those services are governed by their own terms and privacy policies. The Company is not responsible for third-party services and disclaims liability for their acts, omissions, outages, or data practices.
12. Privacy; Monitoring; Security
Our Privacy Policy describes how we collect, use, and share information. You consent to such processing as described there and as necessary to provide the Service.
We may monitor use of the Service for security, abuse prevention, metering, support, and compliance with these Terms. You agree not to interfere with such monitoring. You are responsible for configuring your systems and access controls appropriately and for complying with your own privacy and security obligations to third parties whose data you query or process using the Service.
13. Confidentiality of Access
Credentials, API keys (if any), non-public documentation, and non-public aspects of Records Data schemas or pricing are confidential. You will not disclose them to unauthorized parties or use them except to access the Service as permitted.
14. Termination
We may terminate or suspend your access to the Service (including any Organization, Credits, or Records Data access) immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach any provision of these Terms, if required by law or a data provider, if your use creates risk of harm, or if we discontinue the Service.
You may terminate these Terms at any time by discontinuing use of the Service and deleting your account (subject to Organization-owned data remaining with the Organization). Upon termination, your license to use the Service ceases immediately. We may retain information as described in the Privacy Policy.
Survival. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation: intellectual property provisions; Records Data and FCRA restrictions; warranty disclaimers; limitation of liability; indemnification; dispute resolution; and payment obligations accrued before termination.
15. Disclaimer of Warranties
THE SERVICE, RECORDS DATA, OUTPUT, AI OUTPUT, CREDITS, AND ALL RELATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY; RELIABILITY; COMPLETENESS; TIMELINESS; AVAILABILITY; UNINTERRUPTED OR ERROR-FREE OPERATION; SECURITY; AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, COMPLETE, OR RELIABLE; THAT ANY PERSON CAN BE FOUND OR IDENTIFIED; THAT A "MATCH" OR "NO MATCH" IS CORRECT; OR THAT ANY ERRORS WILL BE CORRECTED.
THE COMPANY IS NOT A CONSUMER REPORTING AGENCY AND DOES NOT PROVIDE CONSUMER REPORTS, BACKGROUND CHECKS, OR GOVERNMENT IDENTITY VERIFICATION.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES; IN SUCH JURISDICTIONS, THE COMPANY'S WARRANTIES ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
16. Limitation of Liability
IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, LICENSORS, DATA PROVIDERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OF OR INABILITY TO USE THE SERVICE
- YOUR RELIANCE ON ANY RECORDS DATA, OUTPUT, OR AI OUTPUT
- ANY DECISION MADE OR ACTION TAKEN BASED ON THE SERVICE
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR INFORMATION STORED THEREIN
- ANY INTERRUPTION OR CESSATION OF THE SERVICE
- ANY BUGS, VIRUSES, OR SIMILAR ISSUES TRANSMITTED TO OR THROUGH THE SERVICE
- ANY ERRORS, OMISSIONS, OR INACCURACIES IN ANY CONTENT OR RECORDS DATA
- ANY CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICE
- ANY DISPUTE BETWEEN USERS OR BETWEEN A USER AND A THIRD PARTY
THE TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIMITATIONS IN THESE TERMS ARE A FUNDAMENTAL PART OF THE BARGAIN BETWEEN YOU AND THE COMPANY AND WILL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY; IN SUCH CASES, THE COMPANY'S LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
17. Indemnification
You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, contractors, agents, licensors, suppliers, data providers, successors, and assigns from and against any claims, demands, proceedings, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service, Records Data, Output, or AI Output
- Your violation of these Terms or of any law or regulation (including the FCRA and privacy laws)
- Your use of Records Data or Output for employment, credit, insurance, housing, or other prohibited purposes
- Your violation of any third-party right, including any intellectual property, privacy, publicity, or data-protection right
- Any User Content you submit or transmit through the Service
- Any dispute between you and a person whose information appears in Records Data or Output
- Any claim by a member of your Organization arising from your administration of that Organization
We may assume exclusive defense and control of any matter subject to indemnification; you agree to cooperate with our defense.
18. Dispute Resolution and Arbitration
Mandatory binding arbitration. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court. The seat of arbitration shall be Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims.
Each party bears its own costs in arbitration except as AAA rules or applicable law require otherwise; filing fees are allocated in accordance with AAA rules.
Small claims exception. Either party may bring an individual action in small claims court for qualifying claims.
Injunctive relief exception. The Company may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, data provider relationships, or to address unauthorized access to or abuse of the Service.
30-day opt-out. You may opt out of this arbitration agreement by sending written notice to support@coverfi.com within 30 days of first using the Service. Opting out does not affect any other provision of these Terms.
If the class-action waiver is found unenforceable as to a particular claim, then that claim (and only that claim) must proceed in court, not arbitration.
19. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for any action not subject to arbitration.
20. Export Controls and Sanctions
You may not use, export, or re-export the Service except as authorized by United States law and the laws of the jurisdiction in which you obtain the Service. You represent that you are not located in a sanctioned country and are not a prohibited or restricted party under applicable sanctions or export-control regimes.
21. Government Users
If you are a U.S. government User, the Service is provided as "commercial computer software" and "commercial computer software documentation," and your rights are limited to those granted to all other Users under these Terms.
22. Severability
If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
23. Entire Agreement
These Terms, together with the Privacy Policy and any order forms, plan descriptions, or supplemental policies we expressly incorporate, constitute the entire agreement between you and the Company regarding the Service and supersede prior or contemporaneous agreements on the subject. The Company's failure to enforce any right or provision is not a waiver of that or any other right or provision. No waiver shall be effective unless in writing and signed by the Company. If there is a conflict between these Terms and a separately signed enterprise agreement, the signed agreement controls only to the extent of the conflict.
24. Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. These Terms bind permitted successors and assigns.
25. Force Majeure
The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to: natural disasters; war; terrorism; riots; embargoes; acts of civil or military authorities; fire; floods; accidents; pandemic; strikes; labor disputes; shortages; infrastructure failures; internet or power outages; denial-of-service attacks; or failures of third-party hosting, payment, email, AI, or data providers.
26. Notices
We may provide notices by email to your account email, by posting in the Service, or by posting to the Service website. Notices to the Company must be sent to support@coverfi.com unless we designate another address.
27. Privacy Policy
Our Privacy Policy describes how we collect, use, and share your information and is incorporated by reference into these Terms.
